All purchases are non-refundable except as required by law or outlined in a written agreement. For promotional offers (e.g., trial periods or discount periods), specific refund or cancellation conditions may apply.

4. Permitted Use

You agree to use our Services only for lawful business purposes and in accordance with these Terms. You may not:

Interfere with system security or overload our infrastructure

Use automated tools (bots, crawlers) to extract or misuse content

Submit unlawful, harmful, or deceptive information

5. User Content

You may upload or input content into the Services (e.g., leads, messages, data, files). You retain ownership of this content but grant Lead Source a limited, non-exclusive, royalty-free license to use it for:

Operating the Services

Providing customer support

Generating aggregated and anonymized usage statistics

You represent that you have the rights to provide this content and that it does not violate third-party rights.

6. Confidentiality

We agree to keep your proprietary information confidential and secure. You agree not to misuse any confidential information shared by Lead Source, including internal tools, pricing, or trade secrets.

7. Intellectual Property

All content, software, branding, and technology provided by Lead Source, including logos, documentation, and code, is owned by or licensed to Lead Source Software Inc. and protected under copyright, trademark, and other laws.

You are granted a non-transferable, non-exclusive, revocable license to access and use the Services strictly as permitted by these Terms.

8. Service Availability and Updates

We strive to maintain the availability and performance of our Services but make no guarantees of uninterrupted service. We reserve the right to:

Modify, update, or remove features

Schedule or conduct system maintenance

Suspend or terminate Services due to unforeseen circumstances

Lead Source is not liable for any loss of data or business disruption caused by outages or maintenance.

9. Third-Party Integrations

Our Services may integrate with third-party tools (e.g., GoHighLevel, Dealertrack, GLo3D). These integrations are provided “as-is” and governed by the respective third-party terms. We are not liable for issues arising from third-party tools or services.

10. Termination

We may suspend or terminate your access if you:

Breach these Terms

Fail to pay applicable fees

Engage in fraudulent or abusive behavior

Upon termination, your access to data and features will cease. You may request a data export prior to closure, subject to reasonable terms.

11. Disclaimers

Our Services are provided on an “as-is” and “as-available” basis. We do not guarantee:

Specific business outcomes or sales performance

That the Services will be error-free or uninterrupted

That our AI tools will always make accurate predictions or recommendations

To the fullest extent permitted by law, we disclaim all warranties, express or implied.

12. Limitation of Liability

To the maximum extent permitted by law, Lead Source Software Inc. shall not be liable for:

Indirect, incidental, special, or consequential damages

Loss of profits, revenues, customers, or data

Business interruptions or reputational damage

Our total liability shall not exceed the amount paid by you in the past 12 months for the Services in question.

13. Indemnification

You agree to indemnify and hold harmless Lead Source Software Inc., its directors, employees, and partners from any claim, liability, loss, or expense (including legal fees) arising from:

Your content or actions

Violation of these Terms or applicable laws

14. Governing Law

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada. You agree to submit to the exclusive jurisdiction of the courts located in Halifax, Nova Scotia for any disputes.

15. Changes to the Terms

We may revise these Terms at any time. If changes are material, we will provide notice via email or dashboard alerts. Continued use of the Services after such changes indicates your acceptance.
